1. Scope and Acceptance
1.1. These Terms apply to all orders for goods and services provided by Kingsview Optical.
1.2. Any conflicting terms in the Buyer’s purchase order or communications are expressly rejected unless accepted in writing by Kingsview Optical.
2. Prices and Payment
2.1. All prices are quoted in £GBP and are exclusive of taxes, duties, shipping, or insurance unless otherwise stated.
2.2. Payment is due net 30 days from the date of invoice, unless agreed otherwise in writing.
2.3. Late payments may incur interest at [e.g., 1.5%] per month or the maximum allowed by law.
3. Retention of Title
3.1. Ownership of all goods remains with Kingsview Optical until full payment has been received and cleared.
3.2. Risk of loss or damage passes to the Buyer upon delivery (Incoterms to be specified).
3.3. Until title passes, the Buyer agrees not to pledge, resell, or modify the goods and shall store them separately, clearly marked as Kingsview Optical’s property.
4. Lead Times and Delivery
4.1. Delivery dates are estimates only. Kingsview Optical shall not be liable for delays beyond its reasonable control.
4.2. Partial shipments are permitted unless otherwise agreed.
4.3. Any discrepancies in quantity or damage must be reported in writing within 5 business days of receipt.
5. Custom and Technical Specifications
5.1. All precision optical components are manufactured to the specifications agreed upon in writing.
5.2. Any changes to specifications must be requested in writing and may affect price and lead time.
5.3. Kingsview Optical is not liable for defects caused by inaccurate or incomplete specifications provided by the Buyer.
6. Returns and Warranty
6.1. Returns are only accepted with prior written approval and may be subject to restocking fees.
6.2. Kingsview Optical warrants that goods will conform to agreed specifications and be free from material defects for a period of 12 months from the date of shipment.
6.3. Warranty is void if the product is modified, mishandled, or not used according to specification.
7. Intellectual Property and Confidentiality
7.1. All drawings, designs, and intellectual property related to products remain the sole property of Kingsview Optical.
7.2. Buyer shall not reproduce, reverse engineer, or disclose any confidential information without prior written consent.
8. Limitation of Liability
8.1. Kingsview Optical’s liability for any claim is limited to the purchase price of the goods in question.
8.2. Kingsview Optical shall not be liable for indirect, incidental, or consequential damages, including lost profits or production downtime.
9. Force Majeure
9.1. Kingsview Optical shall not be liable for failure to perform due to events beyond its control, including but not limited to natural disasters, labor disruptions, supply shortages, or government actions.
10. Governing Law and Dispute Resolution
10.1. These Terms shall be governed by the laws of the United Kingdom.
10.2. Any disputes shall be resolved in the courts of the United Kingdom.
